Chris’s practice focuses on corporate, securities, mergers & acquisitions, and all manners of business transactions.  Chris regularly represents investors and companies in connection with securities offerings and other finance and capital transactions.  He counsels founders of operating businesses and investment companies alike, advising them in proper governance through operating agreements, equity incentive plans, shareholder agreements, disclosure and offering materials, as well as through day-to-day business transactions.  Often, he assists SEC-regulated entities and professionals such as registered investment advisers and investment funds navigate the complexity of compliance.  Relying on his experience in transactions involving the purchase or sale of businesses spanning a multitude of sizes and industries, from large established companies to sole proprietorships and everything in between, clients often turn to Chris for knowledgeable guidance through some of the most important transactions for any business. 
 
Chris’s clients include banks, real estate and venture capital funds, investment advisors, founders and entrepreneurs, growing and mature companies and partnerships, and others in industries as diverse as technology, agriculture, energy, food service, financial technology, manufacturing, emerging industry, finance, entertainment and others. 
 
Chris is active in both the legal and broader business and investment community and will often be found mentoring entrepreneurs throughout the startup-ecosystem.  He serves on the Board of Directors of the Association for Corporate Growth (Arizona Chapter), a leading mid-market private equity organization, and is actively involved with the Canada-Arizona Business Council, the Arizona Technology Council, Invest Southwest, and Venture Madness.  He holds leadership positions in the State Bar, serving on the Executive Council of the Business Law and of the Securities Regulation Sections of the State Bar of Arizona.  
 
Growing up in Utah and Arizona, Chris continued his education and invested his early professional life on the east coast where he worked in Congress as a Legislative Assistant advising a member of the House International Relations Committee on trade, defense and business issues and then later in the political unit at CNN as one of the producers of the daily political debate program “Crossfire.”

Representative Engagements

  • Advised and organized private equity funds focused on real estate and other investments, including structure and compliance considerations.

  • Facilitated private and public securities offerings of corporate equity interests, SEC disclosures and reporting, and state ‘blue sky’ reporting and compliance for corporate clients*

  • Negotiated and drafted stock purchase and sale agreements; developed and managed systems and processes for stock issuances; and drafted stock purchase agreements and legal opinion letters*

  • Conducted legal due diligence reviews in anticipation of significant domestic and cross-border securities transactions*

  • Led more than $35million in private resale transactions involving LifeLock and Facebook*

  • Counseled start-up, growing and established companies while promoting strong corporate governance practices and business positioning for capital infusions and strategic growth*

  • Advised C-level executives on various legal issues, including entity structure, capitalization, intellectual property protection, investor relations, and other agreements including buy-sell; shareholder; non-disclosure and non-competition; waiver and release; asset purchase; and employment and consulting agreements*

  • Advised individuals and companies on trademark, licensing, and proprietary information issues, including protecting trademarks or opposing infringing applications with the USPTO, as well as licensing agreements and assignments of intellectual property*

  • Joined with the King’s County District Attorney’s Office (Brooklyn, NY) on a pro bono basis as Special A.D.A. in its Early Case Assessment Bureau to evaluate merits of potential criminal prosecutions, draft complaints, prepare cases for arraignment and trial, and make court appearances*

  • Deposed NYPD officers and detectives, interviewed witnesses and victims, drafted screening sheets and criminal complaints, and represented the people of New York at criminal arraignments*

  • Represented the Federal Communications Commission in its Media Bureau, Policy Division as a legal extern*

  • Deregulated cable company regional franchises subject to effective competition, drafted FCC opinions, orders, and compliance guides; and assisted senior attorneys with aspects of the digital television (DTV) transition*

  • Produced national daily political debate television show, Crossfire, hosted by James Carville, Tucker Carlson, Paul Begala, and Bob Novak. Developed, framed, and pitched political stories and issues to Executive Producer and Hosts daily, pre-interviewed and booked appearances by Members of Congress, political strategists, administration officials, journalists, and celebrities. Penned daily e-mail sent to more than 27,000 subscribers. Covered 2004 election, including the Republican convention in New York, and presidential debate in Arizona*

  • Served as Congressman’s primary aide for International Relations Committee, and acted as chief adviser on foreign policy, energy, and small business issues. Penned speeches, floor statements, constituent and congressional correspondence. Conducted meetings with constituents, lobbyists, and interest groups. Authored several legislative bills ranging from immigration to gun rights. Most successful aide in recruiting legislative co-sponsors for Congressman’s priorities*
